(Hereinafter “Clients,” “Couple,” or “Participants”)

Chelsea Boateng, M.Ed.
The Professional Parent™
(Hereinafter “Coach,” “Company,” or “The Professional Parent™”)
BACKGROUND
A. The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.
B. The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.
SERVICES PROVIDED
- The Client hereby agrees to engage the Contractor to provide the Client with the following services (the "Services"):
- The Services will also include any other tasks which the Parties may agree on. The Contractor hereby agrees to provide such Services to the Client.
PROGRAM OVERVIEW
PROGRAM DATES & SERVICES
- The Roommate to Soulmate™ Program runs from:
- [Start Date] to [End Date] (12 Weeks)
- Program includes:
- Weekly 60–90 minute Zoom coaching sessions
- Pre-work and reflection worksheets
- Between-session messaging support (Mon–Fri during business hours)
- Customized communication and support systems
- Speak–Shape–Shine™ and Worth Wound™–aligned partnership tools
- Clients agree to participate fully, complete assignments, and engage in honest communication.
INVESTMENT AND PAYMENT TERMS
Total investment for the Roommate to Soulmate™ Program:
$1,500 Paid in Full
Payment terms:
Payments are final and non-refundable.
No chargebacks are permitted.
Collections costs, legal fees, and administrative fees are the responsibility of the Clients.
Access may be paused if payments are not current.
CONFIDENTIALITY & DATA PROTECTION
- The Coach agrees to maintain strict confidentiality of all information disclosed throughout the program, including session notes, conversations, assessments, and private messages.
- The Clients agree to maintain confidentiality of:
- Program materials
- Scripts, tools, worksheets
- Recordings or proprietary methodology
- Confidentiality remains in effect indefinitely, even after the program concludes.
COACHING ETHICS & BOUNDARIES
- Roommate to Soulmate™ Coaching is not therapy, mental-health treatment, legal advice, or medical support.
The Coach:- Does not diagnose or treat mental-health conditions
- Does not provide emergency services
- Does not act as a mediator in legal or safety matters
- Clients are responsible for seeking clinical or medical support when needed.
- If safety concerns or unhealthy relational dynamics are identified (e.g., emotional abuse, coercion), a referral may be required.
CLIENT RESPONSIBILITIES
- To maintain the integrity of the coaching experience, Clients agree to:
- Attend sessions on time
- Engage with honesty and respect
- Complete pre-work, worksheets, and action steps
- Practice communication tools between sessions
- Maintain a safe emotional environment during and after sessions
- Use messaging support appropriately
- Clients are responsible for implementing the tools provided.
NO GUARANTEES
- The Coach does not guarantee:
- A specific relationship outcome
- Behavior change from either partner
- The prevention of conflict
- The Coach does guarantee:
- High-quality tools and guidance
- Trauma-responsive, nervous-system-aligned coaching
- A safe environment for communication and growth
- Results depend on the Clients’ willingness to participate, practice, and engage fully.
INTELLECTUAL PROPERTY
- All content provided in the program is the exclusive property of The Professional Parent™, including:
- Worth Wound™ Framework
- Scripts, worksheets, assessments
- Relationship communication resources
- Clients may not share, teach, copy, resell, or reproduce any materials.
GOVERNING LAW & DISPUTE RESOLUTION
- This Agreement is governed by the laws of Virginia.
- Disputes will follow this process:
- Good-faith conversation
- Mediation
- Binding arbitration
- Court involvement will occur only if legally necessary.
TERM OF AGREEMENT
- The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until the completion of the Services, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.
CAPACITY/INDEPENDENT CONTRACTOR
- In providing the Services under this Agreement it is expressly agreed that the Contractor is acting as an independent contractor and not as an employee. The Contractor and the Client acknowledge that this Agreement does not create a partnership or joint venture between them, and is exclusively a contract for service.
NO EXCLUSIVITY
- The Parties acknowledge that this Agreement is non-exclusive and that either Party will be free, during and after the Term, to engage or contract with third parties for the provision of services similar to the Services.
INDEMNIFICATION
- Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement.
MODIFICATION OF AGREEMENT
- Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.
TIME OF THE ESSENCE
- Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.
ASSIGNMENT
- The Contractor will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written consent of the Client.
ENTIRE AGREEMENT
- It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
TITLES/HEADINGS
- Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
GENDER
- Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
SEVERABILITY
- In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
